Leagues by ProElite — ProElite Tech Solutions LLC
These Terms of Use ("Terms") govern your access to and use of the Leagues by ProElite platform (the "Service") if you are a parent, guardian, coach, referee, adult player, or other individual end user — not a League itself, which is separately bound by a Terms of Service. "ProElite," "we," or "us" means ProElite Tech Solutions LLC, an Idaho limited liability company. "You" means the individual account holder.
By creating an account, registering a player, or otherwise using the Service, you agree to these Terms and to the Privacy Policy, which is incorporated by reference.
1.1 Adults only hold accounts. You must be 18 or older to create an account. This applies to parents, guardians, coaches, referees, and adults who register themselves (adult_player).
1.2 Children never hold accounts. A child never creates their own account, logs in, or enters their own information. A parent or legal guardian enters and manages a child's information through the parent's own account.
1.3 Dependent adults. The Service is also used to register adults who are not able to register themselves, by a guardian or carer acting on their behalf (recorded as a "dependent adult" with a stated relationship to the account holder). References in these Terms to a "player" or "athlete" include a dependent adult registered this way, and references to a "parent" include the guardian or carer who registers them.
1.3.1 No accounts for athletes under 18. The Service does not offer a login for an athlete under 18, including a teen athlete aged 13 to 17. A young athlete's schedule, roster and registration information is reached through their parent's or guardian's account. If ProElite introduces a login for athletes under 18, it will do so under separate terms and with the parental consent required by law, and will notify affected account holders before doing so.
1.4 What you confirm when you create an account. By creating an account and accepting these Terms, you represent and warrant that each of the following is true, and you agree that ProElite relies on these statements in providing the Service to you:
(a) You are 18 years of age or older and are legally able to enter into this agreement.
(b) Where you register or manage a child, you are that child's parent or legal guardian, or you have been given authority by that parent or legal guardian to act for them, and you are authorized to provide that child's information and to consent on their behalf.
(c) Where you register or manage a dependent adult, you are that person's guardian or carer and you have the legal authority to act for them and to provide their information.
(d) The information you provide about yourself, a child, or a dependent adult is accurate and complete, and you will keep it current.
1.4.1 ProElite does not verify these statements. ProElite does not and cannot confirm your age, your relationship to a child or dependent adult, or your authority to act for them. ProElite relies entirely on your confirmation, and nothing in the Service should be taken as ProElite having checked, approved, or accepted responsibility for any of them.
1.5 Your account is your responsibility. Your account is personal to you. You are responsible for keeping your password and any multi-factor authentication method confidential, and you are responsible for everything done through your account, whether or not you did it yourself.
1.5.1 Do not let a child use your account. You must not allow a child to log in as you, use your credentials, or operate your account, whether supervised or not. If you do, everything done through your account remains your responsibility as though you had done it, and you are responsible for any information that is entered or disclosed as a result.
1.5.2 Tell us promptly. You must notify ProElite at support@proelite.app as soon as you become aware of any unauthorized use of your account or any loss or compromise of your credentials.
1.6 If these statements are not true. If ProElite believes in good faith that any statement in Section 1.4 is or has become untrue — including that an account is held by someone under 18, or that a person has registered a child they have no authority to register — ProElite may suspend or close the account without prior notice, and may remove the affected information.
1.6.1 Tell us about an account that should not exist. If you believe a child holds an account, or that someone has registered a child without authority, contact ProElite at support@proelite.app and ProElite will investigate and, where appropriate, close the account and delete the information.
1.6.2 Closing an account does not undo a registration. Where a registration has already been paid for, closing an account does not by itself entitle anyone to a refund; refunds are the League's decision under its own policy.
2.1 Accuracy. You must provide accurate information and keep it current, including emergency contact and medical information for any player you register.
2.2 Security. You are responsible for keeping your login credentials confidential and for activity under your account. Tell us at support@proelite.app if you suspect unauthorized use.
2.3 Coaches and league administrators. If you administer a league or a team, you are responsible for the accuracy of the schedule, roster, and communications you configure, and for managing the access you grant to others.
3.1 What is collected, honestly. When you register a child or a dependent adult, the League collects — through the Service — information including the athlete's full first and last name, date of birth, grade level, school, gender (optional), jersey size and skill level, and any free-text notes you choose to add. A default emergency contact (name, phone, email, and relationship) is also stored. This is more than a first name and a grade level — the Service stores a full identifying record, not a minimized one. See the Privacy Policy for the complete list.
3.2 What is ever shown publicly is minimized, even though what is stored is not. On public rosters and pages, a child or dependent adult is shown as first name and last-initial only; public schedules and program listings show no participant information at all. The Service is built so the full surname never leaves the database layer for a public page. This is a real, deliberate protection, and it is separate from what the League and its coaches can see internally to run the season safely — see Section 3.4 and the Privacy Policy.
3.3 Registration-specific information. Registering for a specific program may also collect a medical_notes free-text field (for allergies, conditions, and medications), a snapshot of your emergency contact at that time, and — where you use it — a "buddy" field where you name another child you'd like your player placed with. If you use the buddy field, you are providing another family's child's name to us; only provide a name, not other identifying details about that child. A League may also ask its own custom registration questions; the League, not ProElite, decides what those ask, and you should direct questions about why a League is asking something to that League.
3.4 Who can see what. A coach can see the roster and contact information for their own team. A league administrator can see registrations and players within their own league. Other families cannot see your player's information except as this Section describes or as you enable under Section 6.
3.5 Special-needs and adaptive programs. If a player or dependent adult is registered for or eligible for an adaptive or special-needs program, the Service records that as a distinct flag used to route them to appropriate programming. See the Privacy Policy for how this information — which can be sensitive disability information — is handled.
3.6 Waivers. Where a League uses waivers, your e-signature, the date, your IP address, and the exact text of the waiver you agreed to are recorded and kept. Signed waivers are not edited or deleted, including at your request, because they are the League's record of what was agreed to. See the Privacy Policy's retention section.
4.1 The League sets prices; ProElite adds a disclosed platform fee. Registration fees and any league dues are set by the League, not ProElite. ProElite charges a platform fee on each registration transaction, disclosed to you at checkout, in addition to any standard payment-processing fee.
4.2 Stripe. Payments are processed by Stripe. Funds go directly to the League's own Stripe account; ProElite does not hold or custody League funds. By paying, you also agree to Stripe's own terms.
4.3 Refunds are the League's decision. Refunds for registration fees are decided and issued by the League, under the League's own refund policy. ProElite is not responsible for a League's refund decision and does not set League refund policy. When a League issues a refund, ProElite returns some or all of its own platform fee for that transaction; the exact amount depends on the League's own settings, and Stripe's processing fee is never refunded by either ProElite or the League.
4.4 Subscription fees are between ProElite and the League. You do not pay a ProElite subscription fee directly. Subscription terms, including that they are non-refundable, are set out in the Terms of Service between ProElite and the League and do not create obligations to you.
4.5 Discount codes. A League — including a city, municipality, or other public body running a program through the Service — may offer discount codes for registration. The League decides whether to offer a code, who is eligible for it, and its terms. If you have a question about a discount code's eligibility, amount, or redemption, direct it to your League. ProElite is not responsible for a League's discount code decisions or for how a code is distributed or used.
5.1 Visibility is a feature, and some of it is your choice. Coaches can see contact details for the families on their team, and parents on a team can see certain information about each other, so families can coordinate. Your account settings let you control whether your last name, phone number, email, and a link to your player are shared with other families on the same team.
5.2 Calendar feed link. If you turn on a calendar feed for your schedule, the link the Service gives you works without a login. Treat that link as a secret — anyone who has it can see your schedule. Don't post it publicly.
You agree not to:
We may suspend or terminate an account that violates these Terms.
7.1 AI output can be wrong. The Service may use an AI assistant and AI-generated images to help run league communications and materials. AI output can be wrong. It is not professional advice, and you should not rely on it without checking it. Where an AI feature proposes an action for an administrator to confirm, the confirming person — not the AI — is responsible for that action.
7.2 A participant's photo may be used to generate AI images. If your League uses the AI image-generation feature with a photo that shows your child or the dependent adult you registered, that photo is sent to a third-party AI provider (OpenAI) to produce the output — see the Privacy Policy. This is initiated by the League, not by ProElite directly; if you have concerns about a specific photo being used this way, raise it with your League first, or contact support@proelite.app.
7.3 AI does not make final decisions about your player. The Service does not use an AI feature to make a final decision about your child's or dependent adult's eligibility, team placement, or discipline without a human administrator reviewing and confirming it.
You keep ownership of content you submit (such as photos or messages) and grant ProElite a license to store, display, and transmit it as needed to run the Service. The Service itself — its software, design, and branding — is owned by ProElite Tech Solutions LLC and is not licensed to you beyond your right to use it as intended. Anything you send us as a suggestion or idea for the Service is ours to use without obligation to you.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." PROELITE DISCLAIMS ALL WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. PROELITE DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, AND DOES NOT HOLD SOC 2, ISO 27001, HIPAA, OR PCI-DSS CERTIFICATION. Participant personal data is not encrypted at rest — see the Privacy Policy.
10.1 TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROELITE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF DATA, REVENUE, OR PROFITS, ARISING FROM YOUR USE OF THE SERVICE.
10.2 PROELITE'S TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE PLATFORM FEES YOU PERSONALLY PAID PROELITE DIRECTLY IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) `[ROBB TO CONFIRM: a flat dollar figure — most end users pay ProElite nothing directly, since the League is the merchant of record, so a "fees paid" formula alone would cap ProElite's consumer liability near zero. This draft proposes $100 as a placeholder floor; confirm or set a different number.]`.
10.3 This limitation does not apply where prohibited by law, and does not limit liability for gross negligence, willful misconduct, or fraud.
You agree to indemnify and hold harmless ProElite Tech Solutions LLC and its personnel from a claim, damage, or expense (including reasonable attorneys' fees) arising from your violation of these Terms, your misuse of the Service, or information you submit through it.
You may stop using the Service and request account deletion at any time by contacting support@proelite.app; see the Privacy Policy for what deletion does and does not reach. ProElite may suspend or terminate an account that violates these Terms, poses a security risk, or is inactive for an extended period, with notice where practical.
13.1 Informal resolution first. Before filing a claim, you agree to try to resolve it informally by contacting support@proelite.app.
13.2 Binding arbitration. Except for a claim that qualifies for small-claims court under Section 13.4, you and ProElite agree to resolve any dispute arising from these Terms or the Service through binding, individual arbitration, not in court, and not as part of a class, consolidated, or representative action.
13.3 Class action waiver. You and ProElite each waive any right to bring or participate in a class, collective, or representative action against the other.
13.4 Small-claims carve-out. Either party may instead bring an individual claim in small-claims court if it qualifies.
13.5 Opt-out. You may opt out of this arbitration agreement by sending written notice to support@proelite.app within 30 days of first accepting these Terms. Opting out does not affect any other part of these Terms.
13.6 Governing law. Except as arbitration rules require otherwise, these Terms are governed by the laws of the State of Idaho, without regard to conflict-of-laws principles.
ProElite may update these Terms. A material change will be communicated by email or in-app notice at least 30 days before it takes effect, and will require you to accept the new version before continuing to use the Service, consistent with the acceptance record described in the Privacy Policy.
Questions about these Terms: support@proelite.app, or ProElite Tech Solutions LLC, 2184 Channing Way PMB# 230, Idaho Falls, ID 83404.
